Agilent highlighted that the acquisition builds on a multi-year global distribution agreement it established with Proscia in March 2023 to offer a digital diagnostic pathology system combining its pathology staining toolkit with Proscia’s Concentriq Dx. The digital pathology software platform, which went on to obtain US Food and Drug Administration (FDA) clearance in 2024, allows pathologists to view, interpret, and manage whole slide images within a digital environment.
Following its recently completed $950m acquisition of Biocare Medical in June, Agilent asserted that acquiring Proscia will result in various strategic and financial benefits. Most notably, Agilent said the takeover will strengthen its existing position in pathology instrumentation and reagents by combining its diagnostic capabilities with Proscia’s Concentriq Dx and the platform’s established customer base.
Proscia serves more than 4,000 laboratories, hospitals, and clinics as well as 16 of the top 20 pharmaceutical companies, according to Agilent.
According to Agilent, Proscia’s product offerings will also help to realise “additional AI-enabled synergies” with the California-based company’s companion diagnostics (CDx) business. This factor is expected to provide value-add to the company’s biopharma partners and clinical and translational research customers.
“Digital pathology is quickly becoming the foundation for pathology data generation, analysis, and application across biopharmaceutical research, clinical development, and diagnostics, and our acquisition of Proscia meaningfully expands our presence in this fast-growing market,” said Agilent’s president and CEO, Padraig McDonnell.
“The acquisition establishes an Agilent platform for scientific intelligence in tissue-based precision medicine, connecting data generation with AI-based interpretation in a workflow that supports biomarker research through routine clinical use. With Proscia’s leading platform and talented team, we will be better equipped to help laboratories and biopharma customers manage and derive insights from pathology data,” McDonnell continued.
The transaction is expected to close in Agilent’s fiscal year 2027, with Proscia set to become part of Agilent’s Life Sciences and Diagnostics Markets business.
Commenting on the buyout, Proscia’s co-founder and CEO, David West, said: “Agilent shares our vision for advancing pathology through open, digital, and AI-enabled solutions. Together, we can accelerate innovation while continuing to provide customers with the flexibility they need across clinical and life-sciences workflows.”
