M&As this week: Royal Philips, Biomerics, Clinical Innovations

Royal Philips has signed an agreement to acquire EPD Solutions for €250m ($292m) in cash and milestone-based payments.

Royal Philips has signed an agreement to acquire EPD Solutions for €250m ($292m) in cash and milestone-based payments.

Royal Philips is expected to make contingent and milestone-based payments of up to €210m ($245m), upon completion of the acquisition.

EPD and its employees will become part of Royal Philips’ image-guided therapy business.

Based in the Netherlands, Royal Philips is a medical device company, while EPD Solutions is a UK-based provider of image-guided procedures for cardiac arrhythmias.

The acquisition will complement the acquirer company’s existing product portfolio and enable the company to launch solutions in the €2bn ($2.36bn) image-guided treatment market.

Biomerics LLC has completed the acquisition of FutureMatrix Interventional Inc for an undisclosed sum.

Based in the US, Biomerics is a contract manufacturer of medical devices, while FutureMatrix, also based in the US, is a developer and marketer of disposable medical devices for vascular, urology and surgical specialties.

“The acquisition will enable Clinical Innovations to fortify its position in the Australian market and improve the company’s worldwide growth strategy.”

The transaction enables the acquirer company to expand its capabilities and build customer relationships in the medical device market.

Clinical Innovations LLC has completed the acquisition of JB Medical Supplies PTY LTD for an undisclosed consideration.

Based in the US, Clinical Innovations is a provider of single-use clinician-preferred medical devices, while JB Medical is an Australian provider of leading-edge products for use in labour, delivery and perinatal care.

The acquisition will enable Clinical Innovations to fortify its position in the Australian market and improve the company’s worldwide growth strategy.

UK-based private equity firm IK Investment Partners has signed an agreement to purchase Klingel medical metal GmbH from Germany-based asset management firm, Halder Beteiligungsberatung GmbH.

William Blair and Company LLC was appointed as the financial advisor and Graf von Westfalen as the legal advisor to Halder for the transaction.

The target company is a Germany-based designer and manufacturer of precision parts and metal components for medical and industrial applications.

CoreLink LLC has completed the acquisition of Expanding Orthopedics Inc for an undisclosed sum.
