Meanwhile, the transaction has the potential for additional earnouts of up to $150m based on revenue from BioReference’s 4Kscore test, bringing the deal’s total potential value to $872m.

4Kscore assesses the probability of finding aggressive prostate cancer in men 45 or older with an age-stratified elevated PSA or a positive nodule on a digital rectal examination (DRE), to determine whether a biopsy is necessary or can reasonably be avoided. The test secured US Food and Drug Administration (FDA) approval in 2021 but has been available as a laboratory-developed test (LDT) since 2014.

BioReference is a core part of Opko’s diagnostics division. According to the parent company’s financials, the segment generated $74.5m in Q2, with 4Kscore bringing in $6.3m.

Labcorp highlighted that the transaction is intended to provide patients, physicians and customers with greater access to its own laboratory services.

Elaborating further, Bryan Vaughn, Labcorp’s executive vice president and president of diagnostics, said the transaction will strengthen its ability to “deliver affordable, high-quality, specialised diagnostic services” to more patients and providers in the US.

According to the North Carolina-headquartered life sciences company, it provided support for more than 85% of the new drugs and therapeutic products approved by the FDA and performed more than 750 million tests for patients globally in 2025.

“By expanding our clinical, women’s health, urology and corrections testing capabilities and broadening access to innovative diagnostics such as the FDA-approved 4Kscore test, we can help providers make more informed decisions, improve patient care and increase access to the comprehensive laboratory services people need to live healthier lives,” Vaughn continued.

Opko anticipates that the transaction, for which the timeline for completion has not been publicly outlined, will serve to streamline its operations and allow it to direct more resources towards its biopharmaceutical business.

Phillip Frost, Opko’s chairman and CEO, added: “Labcorp’s national scale and capabilities will broaden patient and provider access to BioReference’s 4Kscore Test to many more patients across the country. We believe this transaction is an important catalyst to further unlock additional value for our shareholders.”
